End User License Agreement (EULA)

IMPORTANT – PLEASE READ CAREFULLY: This End User License Agreement (“Agreement” or “EULA”) is a legally binding contract between you (either an individual or a single legal entity, hereinafter referred to as “Customer,” “You,” or “Licensee”) and 3JX Consulting Ltd (“3JX,” “Licensor,” “we,” or “us”), governing your installation, access to, and use of the Kyriba Integration extension (the “App”) for Microsoft Dynamics 365 Business Central acquired via Microsoft AppSource or directly from 3JX.

BY INSTALLING, COPYING, DEPLOYING, OR OTHERWISE USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL, DOWNLOAD, OR USE THE APP.

1. Grant of License

Subject to the terms and conditions of this EULA and the payment of applicable subscription or licensing fees, 3JX grants you a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide license to install, deploy, and execute the App solely within your authorized Microsoft Dynamics 365 Business Central tenant(s) for internal business purposes.

This license applies to both production environments and authorized sandbox environments associated with your Microsoft 365 / Dynamics 365 tenant, subject to any tenant or user restrictions specified in your commercial order or AppSource subscription plan.

2. License Restrictions

Except as expressly permitted by applicable statutory law, you shall not, and shall not permit any third party to:

• Reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code, object code, or underlying algorithms of the App (AL code, DLLs, or compiled symbols);
• Modify, translate, adapt, or create derivative works based upon the App;
• Rent, lease, lend, sell, sublicense, distribute, publish, or transfer the App to any third party or provide access as a bureau or commercial hosting service;
• Bypass, disable, or circumvent any license validation mechanisms, tenant key locks, or security controls embedded within the App;
• Remove, alter, or obscure any proprietary notices, trademarks, or copyright designations affixed to or contained within the App.

3. Intellectual Property Rights

The App is licensed, not sold. 3JX Consulting Ltd retains all right, title, interest, ownership, and intellectual property rights in and to the App, including all AL source code, interface designs, data schemas, documentation, and enhancements or bug fixes thereto.

All trademarks, service marks, and trade names of Microsoft Dynamics 365, Business Central, Microsoft AppSource, and Kyriba are the property of their respective owners. Nothing in this Agreement grants you any right or license to use any third-party trademarks.

4. Third-Party Dependencies & Kyriba Subscriptions

You acknowledge and agree that the App functions as an integration connector between Microsoft Dynamics 365 Business Central and the Kyriba treasury management platform:

• Independent Subscriptions: You are solely responsible for procuring, licensing, and maintaining valid subscriptions and access rights for Microsoft Dynamics 365 Business Central and Kyriba services.
• API and Service Availability: 3JX is not responsible for any downtime, outages, API deprecations, rate limits, or connectivity failures caused by Microsoft Azure, Microsoft Dynamics 365, or Kyriba Corp.
• Banking & Treasury Configurations: You remain solely responsible for the accuracy of your GL mappings, bank accounts, payment formats, approval workflows, and authorization tokens configured within Business Central and Kyriba.

5. Updates, Support & Maintenance

3JX may from time to time release updates, patches, bug fixes, or compatibility versions of the App (e.g., for Microsoft Business Central major release waves). Updates may be distributed automatically via Microsoft AppSource or provided directly.

Technical support is provided in accordance with your active AppSource subscription plan or commercial support agreement. 3JX is under no obligation under this EULA alone to provide customized AL development, on-premise installation support, or third-party workflow consulting unless governed by a separate statement of work.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

3JX CONSULTING LTD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE APP WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED IMMEDIATELY.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 3JX CONSULTING LTD, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, BANKING OR TRANSACTIONAL LOSSES, OR COST OF SUBSTITUTE GOODS/SERVICES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, 3JX CONSULTING LTD’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE APP SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR £100 GBP, WHICHEVER IS GREATER.

8. Term and Termination

This Agreement remains effective until terminated. Your rights under this Agreement will terminate automatically without notice from 3JX if you fail to comply with any term(s) of this EULA or if your subscription via Microsoft AppSource lapses or is cancelled.

Upon termination, you must cease all use of the App and uninstall/unpublish the extension from all Microsoft Dynamics 365 Business Central environments under your control.

9. Governing Law and Jurisdiction

This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
